Six Governance Contract Clauses Every Enterprise Must Have

Not every AI vendor clause matters equally. These six distinguish an enforceable governance contract from a checkbox governance policy.

1. Data Isolation and No-Training Clauses

Your data is an asset. Your AI vendor should not use it to train successor models without explicit written consent—separate from the service agreement. A no-training clause commits the vendor to isolate your data from model improvement pipelines.

This is not a privacy clause; it is a competitive intelligence clause. Your proprietary data, customer transaction patterns, and inference requests may reveal strategic intent. OpenAI's default terms allow training use unless you opt out at the account level. Azure OpenAI and most enterprise vendors permit opt-out at the request level, but the contract must be explicit.

In your contract, require:

  • Affirmative commitment that your data will not be used for model training or improvement.
  • Data retention limits — how long does the vendor keep your inputs after processing?
  • No sublicensing of your data to other vendors, affiliates, or research institutions.

2. Sub-Processor Transparency and Flow-Down

Require that the vendor:

  • Allows you to retain access to the prior model version for a transition period (minimum 90 days).
  • Certifies that model updates do not alter the vendor's representations about data handling, audit rights, or compliance obligations.

4. Data Portability and Exit Rights

Vendor lock-in is a governance risk. If your AI system depends on OpenAI's proprietary model format, and you need to exit for regulatory or business reasons, you cannot migrate. The contract must guarantee portability of your data and output, and a clear exit timeline.

Require:

  • Vendor provides all your data (prompts, outputs, metadata, logs) in a standard format (CSV, JSON) within 15 days of termination.
  • No destruction of your data until 60 days after contract end.
  • Clear definition of what you own: outputs generated from your prompts are yours; the underlying model remains vendor IP.
  • Migration support window: vendor commits to not deprecating the API or model for at least 6 months after notice of intent to migrate.

5. Regulatory Compliance Indemnification

The EU AI Act penalties apply to you, the enterprise deploying the system. But if the vendor misrepresented compliance or failed to provide required documentation, the vendor should indemnify your fines. This is becoming standard in enterprise software but is uncommon in AI vendor agreements.

Require:

  • Vendor indemnifies you against regulatory fines (including EU AI Act penalties) arising from vendor misrepresentation of model capabilities, safety measures, or compliance features.
  • Vendor indemnity excludes fines arising from your misuse (e.g., deploying a model without required human review when the contract specifies human review is needed).
  • Vendor maintains professional liability insurance at a minimum of €10 million.
  • Vendor confirms it has conducted its own compliance assessment and certifies fitness for your intended use case.

6. Audit and Monitoring Rights

Governance requires evidence. The contract must grant you audit rights: the ability to inspect the vendor's security controls, data handling processes, sub-processor relationships, and compliance certifications.

Require:

  • Annual third-party SOC 2 Type II audit, with results provided to you on request.
  • Right to request specific audit evidence related to data isolation, access controls, and incident response.
  • API-level logging: vendor provides audit logs (query, response, user, timestamp, model version) with at least 12 months' retention.

OpenAI Enterprise Lock-In: What the Contract Actually Contains

OpenAI's enterprise agreements exist, but they are not freely available. Here is what they actually contain—and where you should push back.

Minimum Commitment Lock-In. OpenAI's enterprise terms typically require a 12-month minimum spend commitment, often at six-figure thresholds. This is not novel, but it is asymmetric: you commit revenue; OpenAI commits only to API uptime (99.9%), not model availability or model change notice. If OpenAI wants to sunset GPT-4 and move customers to GPT-5, your contract does not guarantee access or transition time.

Azure OpenAI vs. Direct OpenAI: Governance and Pricing Comparison

This is the foundational decision: should you contract with OpenAI directly or access OpenAI models through Microsoft Azure? The governance and contractual differences are substantial.

Pricing Model: PTU vs. PAYG. Azure OpenAI offers Provisioned Throughput Units (PTU), a reserved capacity model. Azure Brings Three Governance Advantages. First, EA discounting: if you have an enterprise agreement with Microsoft, Azure OpenAI usage counts toward your EA, potentially lowering your effective cost by 20-30%. Second, data residency: Azure OpenAI lets you specify geographic data residency (EU data centers, UK data centers, etc.), with contractual guarantees that data does not leave the region. Direct OpenAI does not offer this. Third, VNet and private endpoint support: you can deploy Azure OpenAI without internet exposure, behind your corporate firewall. This is critical for financial services and healthcare enterprises. Direct OpenAI is internet-first.

Direct OpenAI Brings One Advantage: Model Velocity. OpenAI releases new models faster directly than through Azure. If you need the absolute latest model immediately, direct OpenAI is the path. Azure lags by weeks or months. For most enterprises, this lag is acceptable; for research teams or competitive intelligence applications, it matters.

Governance Decision Framework.

  • If you prioritize budget predictability, data residency, or existing Microsoft EA relationships: Azure OpenAI
  • If you prioritize model velocity and are comfortable with variable pricing: Direct OpenAI
  • If you require audit rights, sub-processor control, and GDPR flow-down: Azure OpenAI (Microsoft is GDPR-compliant; OpenAI is not)

In practice, many enterprises end up using both: Azure OpenAI for production workloads with strict governance, and direct OpenAI for exploration and research.

Consumption Billing Governance: How to Budget-Cap and Control AI Spend

This is where governance breaks down in practice. AI consumption is hard to predict. The first year is chaos.

Consumption billing for GenAI systems creates three problems: variance, attribution, and runaway costs.

Variance. Your first-year consumption may swing 40-300% from your budget. Why? Because production usage patterns are unknowable until models are live. You forecast 10,000 prompts per day. Reality is 2,500 on day one, then 45,000 on day thirty when you plug it into a new business process. Your budget is shattered.

Attribution. Which business unit, which application, which model caused your $500K consumption bill? Most AI vendor APIs do not provide fine-grained cost attribution. You see a lump bill; you do not see which department or which prompt caused the spike.

Runaway Costs. If an application has an infinite loop, or if a user runs 100,000 prompts by accident, you do not get alerted in real time. You get a bill at month-end that reflects the damage.

Contract Controls for Consumption Billing.

  • Consumption caps. Require that the vendor automatically throttles or stops API requests if cumulative monthly usage exceeds a threshold (e.g., $100K). You should be notified immediately, not charged overage fees without warning.
  • Per-API-key metering. Require that each API key (associated with a team or application) has its own consumption limit. This forces cost ownership by business unit.
  • Granular logging and tagging. Require that each API call is tagged with metadata: application ID, user ID, request type, response token count, model version. This lets you retroactively attribute costs.
  • Billing transparency. Require that the vendor publishes pricing for each model version daily, with notice of any price changes at least 30 days in advance. You should never be surprised by pricing at invoice time.
  • Rate cards and volume discounts. Negotiate volume discounts explicitly. If you commit to $500K annually, you should get 20-30% off the list rate. This is standard in enterprise software; it is not optional for AI.

Azure OpenAI's PTU model largely solves the variance problem—you pay for capacity, not consumption—but it solves it by front-loading risk: you commit capital upfront and are responsible for capacity planning. Direct OpenAI's PAYG model is flexible but requires discipline in tagging, monitoring, and caps.

Building a Vendor AI Governance Scorecard

You need a way to evaluate vendors against governance requirements, not just feature checklists. Use this scorecard to assess any AI vendor contract.

Scoring model: each category is 0 (missing), 1 (partial), or 2 (contractually enforceable).

  • Data Isolation (0-2). Does the vendor contractually commit to not using your data for training? Can you disable data usage at the account level, the request level, or both?

  • EU AI Act Compliance (0-2). Does the contract certify fitness for high-risk systems? Does the vendor provide technical documentation? Does the vendor commit to regulatory updates?

A score below 10/16 means the contract lacks governance teeth. A score of 10-14 means you have a foundation but gaps. A score of 15+ means the contract reflects enterprise governance maturity.

OpenAI's standard terms typically score 6-8. Azure OpenAI typically scores 12-14. Most smaller vendors score 4-6. Use the scorecard to focus negotiations on the highest-impact gaps.
